1.2 Information Collected Automatically

When you access or use BatchExchange.com, we automatically collect:

• IP address and approximate geographic location
• Browser type, version, and device type
• Operating system
• Pages visited, features used, and time spent on the Platform
• Referring website or advertisement that directed you to our Platform
• Cookie identifiers and tracking pixel data (see Section 8)

The provisions in this Section 3 are required by U.S. mobile carriers under the A2P 10DLC framework and constitute our binding commitment to you regarding SMS data practices.

3.1 How We Collect SMS Opt-In Consent

We collect your mobile phone number and SMS consent through the following methods:

• The public Sign Up modal at BatchExchange.com, including standard company signup and invite-key signup
• The customer contract signature page at BatchExchange.com/contracts/share, when a customer opens a secure contract link and checks the SMS consent box before digitally signing

At each opt-in point, we present: (a) clear disclosure that you are consenting to receive SMS messages; (b) the types of messages you will receive; (c) message frequency disclosure; (d) "Msg & data rates may apply" notice; (e) HELP and STOP instructions; and (f) links to this Privacy Policy and our Terms of Service. SMS consent is not required to create an account, purchase services, or sign a contract.

3.2 Types of SMS Messages We Send

BatchExchange.com sends the following categories of SMS messages to users who have opted in:

• Transactional Messages: Order confirmations, quote notifications, delivery updates, appointment reminders, and account alerts
• Project Updates: Status changes, schedule updates, and logistics notifications for active concrete projects
• Customer Service: Support responses, account security codes, and help messages
• Operational Notifications: Contractor match notifications, lead alerts for registered contractors and suppliers

3.3 SMS Data Sharing - Absolute Restriction

CARRIER COMPLIANCE STATEMENT: Mobile opt-in data, mobile phone numbers, and SMS consent information collected by BatchExchange.com will NOT be shared with or sold to third parties or affiliates for marketing or promotional purposes. This prohibition is absolute and applies at all times without exception.

To be explicitly clear:

• We DO NOT sell mobile phone numbers to any third parties
• We DO NOT share SMS opt-in consent data with data brokers or list aggregators
• We DO NOT share mobile numbers with third parties for use in their own SMS marketing campaigns
• We DO NOT rent or license mobile phone number lists to any external parties
• We DO NOT permit any third party to send SMS messages to our users using data obtained from BatchExchange.com

The only circumstances under which we may disclose mobile phone numbers to third parties are: (a) to Twilio or our authorized SMS service provider solely for the purpose of transmitting messages on our behalf, subject to contractual restrictions; or (b) in response to a valid legal subpoena, court order, or law enforcement request. SMS opt-in consent data and text messaging originator opt-in data are not shared, sold, rented, licensed, or transferred to third parties or affiliates for marketing or promotional purposes.

3.4 SMS Opt-Out Procedures

You may opt out of SMS messages from BatchExchange.com at any time using any of the following methods:

• Reply STOP to any SMS message (works with all opt-out keywords: STOP, QUIT, CANCEL, END, UNSUBSCRIBE)
• Email your opt-out request to admin@batchexchange.com
• Update notification preferences in your BatchExchange.com account settings
• Contact our support team at admin@batchexchange.com

After opting out, you will receive a single confirmation message. No further SMS messages will be sent unless you re-opt-in. Opting out of SMS does not affect your email communications or Platform access.

3.5 SMS Help

For assistance with our SMS program, reply HELP to any SMS message or contact admin@batchexchange.com. Carrier: BatchExchange uses Twilio as its SMS messaging provider. Supported carriers include AT&T, T-Mobile, Verizon, Sprint, Boost Mobile, Cricket, MetroPCS, U.S. Cellular, and regional carriers. Message and data rates may apply.

4.1 With Concrete Contractors and Suppliers (Service Fulfillment)

When you submit a lead, project inquiry, or quote request, we share relevant information with registered BatchExchange contractors, suppliers, and concrete plants for the sole purpose of responding to your request. This includes your:

• Name and contact information
• Project location and specifications
• Concrete type, quantity, and delivery requirements
• Project timeline and budget parameters

Contractors and suppliers who receive your information through BatchExchange.com are contractually obligated to use it only to respond to your specific inquiry. They are prohibited from using your information for unrelated marketing or sharing it with unauthorized third parties.

4.2 With Service Providers

We share information with trusted service providers who assist us in operating the Platform, subject to confidentiality agreements and data processing restrictions:

• Twilio - SMS and voice communications platform (DOES NOT use your data for third-party marketing)
• Payment processors (e.g., Stripe) - for secure transaction processing
• Cloud hosting providers - for Platform infrastructure
• Email service providers - for transactional and marketing emails
• Analytics providers (Google Analytics) - for anonymized usage analytics
• Identity verification services - for contractor credentialing

4.3 With Advertising Partners

We use the following advertising platforms to reach potential users and measure advertising effectiveness:

• Google Ads/Google LLC: We use Google Ads for search and display advertising and Google Analytics for website analytics. Google may receive anonymized event data and conversion signals. Google's privacy policy is available at policies.google.com/privacy.
• Meta Platforms (Facebook/Instagram): We use Meta Pixel to measure advertising effectiveness and retarget website visitors. Meta may receive anonymized event data. Meta's data policy is available at facebook.com/privacy/policy.

No personally identifiable information is transferred to advertising partners in a way that allows them to identify individual users. All advertising data is anonymized, aggregated, or processed through privacy-preserving technologies such as hashed IDs.

4.4 Legal Disclosures

We may disclose your information when required by law or when we believe disclosure is necessary to: (a) comply with applicable laws, regulations, or legal processes; (b) respond to valid legal requests from public authorities; (c) protect the rights, property, or safety of BatchExchange.com, our users, or the public; or (d) enforce our Terms of Service.

4.5 Business Transfers

In the event of a merger, acquisition, reorganization, or sale of assets, general business records may be transferred as part of the transaction. SMS opt-in consent data, text messaging originator opt-in data, and mobile phone numbers collected for SMS messaging will not be shared, sold, rented, licensed, or transferred to any third party or affiliate for marketing or promotional purposes as part of any such transaction.

4.6 We Do NOT Sell Your Personal Information

BatchExchange.com does NOT sell personal information to third parties. We do NOT share personal information with data brokers, list aggregators, or unaffiliated marketing companies. Mobile phone numbers and SMS opt-in data are never shared for marketing purposes under any circumstances.

We retain your personal information for as long as necessary to provide the Services and comply with legal obligations:

• Account information: Retained while your account is active and for 3 years after account closure
• Project and transaction records: Retained for 7 years for legal and accounting purposes
• SMS opt-in consent records: Retained for 5 years from the date of consent for compliance documentation
• Communication logs: Retained for 2 years
• Marketing preferences: Retained until you opt out or request deletion

When information is no longer needed, we securely delete or anonymize it in accordance with applicable law and industry standards.

We implement industry-standard technical, administrative, and physical security measures to protect your personal information from unauthorized access, use, disclosure, alteration, or destruction. These measures include:

Our Platform is designed for business and commercial use by adults. Users under 18 are not permitted to create accounts or use the Platform.

BatchExchange.com is not responsible for the privacy practices of third-party websites.

BatchExchange.com is operated in the United States. If you are located outside the United States, please be aware that your information may be transferred to and processed in the United States.
